Terms of Service

1. Acceptance of Terms

By accessing or using the ToolVize website (the "Site") and any of our digital tools, APIs, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you are strictly prohibited from using the Service and must discontinue use immediately.

2. Description of Service

ToolVize provides a centralized hub of digital utilities for businesses, creators, and developers. This includes, but is not limited to, the Google Review QR Generator, formatting tools, and image processors.

We offer both a free tier (supported by advertisements and featuring standard watermarks) and premium subscription tiers (Pro and Business) that unlock advanced features, custom branding, history saving, and priority support as outlined on our Pricing page.

3. User Accounts

While many of our core tools can be used anonymously, accessing premium features requires registering an account. By creating an account, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Promptly notify us if you discover or suspect any security breaches related to your account.

You are solely responsible for all activities that occur under your account.

4. Acceptable Use Policy

You agree not to use the Service in any way that is unlawful, illegal, or unauthorized. Specifically, you agree NOT to:

  • Scrape, datamine, or reverse-engineer the tools or underlying APIs provided on ToolVize.
  • Use automated scripts or bots to generate bulk QR codes or manipulate our systems, except via official API access granted under the Business plan.
  • Resell, distribute, or commercially exploit the output of our free tier tools (e.g., selling generated QR codes to clients) without upgrading to a Pro or Business plan which explicitly grants commercial white-label rights.
  • Attempt to bypass rate limits or access features you have not paid for.
  • Use the Service to transmit malware, phishing links, or illicit material.

5. Intellectual Property

ToolVize's Property: The Service, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Site (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks"), are owned by or licensed to ToolVize.

Your Property: You retain all ownership rights to the raw inputs, links, and original image logos you upload to our tools. By generating content (such as a QR code) using our tools, you are granted a worldwide, non-exclusive license to use the generated output. Free tier outputs contain a mandatory ToolVize watermark which may not be digitally removed or obscured.

6. Subscription, Billing, and Cancellation

Payments: Premium features are billed on a subscription basis ("Subscriptions"). You will be billed in advance on a recurring and periodic basis (either monthly or annually, depending on your selection).

Auto-Renewal: At the end of each billing cycle, your Subscription will automatically renew under the exact same conditions unless you cancel it or ToolVize cancels it.

Cancellation & Refunds: You may cancel your Subscription renewal at any time via your account settings. Payments are non-refundable, and we do not provide refunds or credits for any partial-month subscription periods or unused Services, except where mandated by local consumer law.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. ToolVize makes no representations or warranties of any kind, express or implied, as to the operation of their services, or the information, content, or materials included therein.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not guarantee that your generated QR codes will scan perfectly on all devices, as scanning capability depends on user hardware, contrast, and printing quality.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ToolVize, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use or alteration of your transmissions or content.

10. Termination

We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Service or delete your account through your user dashboard.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of [Your Jurisdiction / State / Country], without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
